Terms of Service

These Terms of Service ("Terms") are an agreement between you and IQuest Solutions Private Limited ("THE CONFLUENCE", "we", "us"), operator of the invitation-only private network available at confluence.ind.in (the "Network"). By applying for membership, signing in, or using the Network in any way, you accept these Terms, our Privacy Policy, our Code of Conduct, and our Refund & Cancellation Policy, each of which forms part of this agreement.
1. The Network
THE CONFLUENCE is a private, curated community of accomplished individuals who give, seek, and exchange expertise, introductions, and opportunities. The Network provides — among other features — a member directory, a help exchange, private messaging, groups, events, a concierge that recommends members based on stated needs, and tools for introductions and invitations. The Network is a facilitator only: we connect members; we are not a party to, and accept no responsibility for, any transaction, engagement, investment, or relationship that members enter into with each other.
2. Eligibility and admission
Membership is by invitation and merit. You must be at least 21 years of age and must provide true, accurate, and current information at application and thereafter. Admission follows our multi-stage process — application, screening, verification, reference checks, Membership Committee review, and member voting — and is entirely at our discretion. We may decline any application without assigning reasons. Submitting an application does not create any entitlement to membership; application data is handled per our Privacy Policy.
3. Membership categories and fees
The Network offers membership categories (currently Founding Member, Lifetime Member, and Patron) whose benefits, joining fees, and annual fees are stated on our Pricing page. Fees are payable in Indian Rupees through our payment partner (Razorpay), are exclusive of applicable taxes unless stated otherwise, and are subject to the Refund & Cancellation Policy. We may revise fees prospectively with at least 30 days' notice; revisions never apply retroactively to fees already paid. Non-payment of renewal fees after the notice period may result in suspension and, thereafter, termination of membership.
4. Your account and conduct
You are responsible for safeguarding your credentials and for all activity under your account, and you must notify us immediately of any suspected unauthorised use. You agree to comply with the Code of Conduct at all times — in the app, at events, and in any member-to-member interaction that originates in the Network. In particular you must not: misuse the directory or member data for marketing, scraping, recruitment databases, or any purpose outside genuine member-to-member engagement; misrepresent your identity, credentials, or achievements; solicit members commercially in unsolicited or bulk fashion; or share non-public member information outside the Network without the member's consent.
5. Member content
You retain ownership of the content you post (profile details, help requests, responses, messages, group posts). You grant us a non-exclusive, royalty-free licence to host, display, and process that content solely to operate and improve the Network, consistent with your privacy settings. You warrant your content is lawful, accurate, and does not infringe third-party rights. We may remove content that breaches these Terms or the Code of Conduct.
6. Introductions, recommendations & the concierge
Recommendations, matches, and concierge responses are generated from information members have chosen to share, and are provided in good faith without warranty of any kind. We do not vet, endorse, or guarantee any member, opportunity, or piece of advice exchanged on the Network. Professional advice (legal, financial, medical, or otherwise) shared by members is theirs alone; obtain independent advice before acting. Any decision to invest, hire, contract, or transact is yours and at your sole risk.
7. Events
Event registrations may be subject to capacity, guest rules, dress codes, and venue terms communicated per event. Event fees, where charged, follow the Refund & Cancellation Policy. We may photograph or record events for the Network's private records and member communications; if you prefer not to appear, tell us at registration or at the event and we will honour it.
8. Suspension and termination
We may suspend or terminate membership, after giving the member an opportunity to be heard except in cases of serious misconduct, where a member: breaches these Terms or the Code of Conduct; provided false information at application; engages in conduct that, in the reasonable judgment of the Membership Committee, damages the trust, safety, or reputation of the Network or its members; or fails to pay fees due. You may resign at any time by written notice; the effect of resignation or termination on fees is governed by the Refund & Cancellation Policy. Upon termination, your access ceases and your data is handled per the Privacy Policy.
9. Intellectual property
The Network — its name, marks, design, software, and content other than member content — is owned by us or our licensors. No rights are granted except the limited, revocable, non-transferable right to use the Network as a member in accordance with these Terms.
10. Disclaimers and limitation of liability
The Network is provided "as is" and "as available". To the maximum extent permitted by law: we disclaim all implied warranties; we are not liable for the acts, omissions, statements, or dealings of any member or third party; and our aggregate liability to you for all claims in any membership year is limited to the fees you paid to us in that year. Nothing in these Terms limits liability that cannot be limited under Indian law.
11. Indemnity
You will indemnify us against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your dealings with other members.
12. Governing law and disputes
These Terms are governed by the laws of India. Courts at Hyderabad, Telangana have exclusive jurisdiction, subject to the following: the parties will first attempt good-faith resolution for 30 days; unresolved disputes shall be referred to arbitration by a sole arbitrator seated in Hyderabad under the Arbitration and Conciliation Act, 1996, conducted in English. Consumer rights that cannot be waived under Indian law remain unaffected.
13. General
We may update these Terms with at least 15 days' notice by email and in-app notice; continued use after the effective date is acceptance. If any provision is held unenforceable, the remainder survives. Our failure to enforce a provision is not a waiver. You may not assign membership; it is personal to you.
